States sue to block Paramount-Warner Bros merger
A group of U.S. states, led by California, filed suit to block Paramount’s roughly $110 billion acquisition of Warner Bros, which would merge two of Hollywood’s largest studios and combine their film libraries, streaming services and television news operations. The states argue the deal would reduce competition across production, distribution and advertising, and would give the combined company outsized leverage over what gets made and how it reaches audiences.
The lawsuit adds a new obstacle to a deal that had already drawn federal scrutiny and a review of foreign investment. State attorneys general have grown more willing to challenge large mergers independently rather than defer to federal regulators, and a coordinated multistate action raises both the legal cost and the political stakes of pushing the transaction through. Whether the suit ultimately blocks the merger or forces divestitures, it signals that the consolidation reshaping the media industry now faces resistance at the state level.
